InfoNet, Inc. Terms of Services Agreement

I. Terms of Service

A. The services provided for under this agreement shall begin with activation of you account and remain in effect for the duration thereof.

B. Client will be responsible for payment in advance of service provided. Notification of cancellation is required. Client will be responsible for all access charges accrued. Standard setup fees will apply to reactivate the account.

C. The rates quoted in this agreement are guaranteed for the term paid for in advance, but are subject to change at any time. InfoNet, Inc. will notify clients via e-mail prior to an effective change in rates.

D. InfoNet, Inc. hereby states that service is to be interactive usage and reserves the right to forestall continuous or persistent use. Camping, auto-dialers, and other software which prevent disconnection due to inactivity are not allowed. Client understands that this agreement is for one user or household and not be used simultaneously on more than one computer or modem at any one time.

E. InfoNet, Inc. reserves the right to modify the service terms, standard rates and operating procedures; to establish usage priorities: and to discontinue all or any part of the services at any time.

F. Client may terminate this agreement at any time by providing at least 15 days advance written notice to InfoNet, Inc. Account balances will not be refunded.

G. All services and materials are provided on an "as is" basis. There are no warranties expressed or implied.

H. Both parties agree to accept electronic mail (e-mail) as a regular mode of binding documentation for notification purposes. Any item requiring signatures requires written documentation.

I. This documentation constitutes the entire agreement between the parties with respect to access InfoNet, Inc. and supersedes all prior and contemporaneous statements, communications, and documents.

II. General Conditions

A. InfoNet, Inc. may be used only for lawful purposes. Transmission or storage of any material in violation of any U.S. or State law or regulation is prohibited, including, but not limited to, copyrighted material, material legally judged to be threatening or obscene, or material protected by trade secret.

B. Client agrees to comply with the applicable rules and terms of any service network accessed through InfoNet, Inc.

C. Client agrees to indemnify and hold harmless InfoNet, Inc. from any claims resulting from Clients use of the service or others services.

D. InfoNet, Inc. will not monitor or regulate the content of information or data passing through or temporarily stored on its system, except under court order or where reasonable suspicion of a legal violation exists.

E. InfoNet, Inc. reserves the right to bring the system down at any time for service upgrades.

F. This agreement will be performed in and governed by the laws of the State of Minnesota. Any claims or causes of action arising out of or related to this agreement must be instituted within one [1] year after the claim or cause of action has arisen or be barred. A claim or cause of action occurs, regardless of the parties knowledge of such breach, act, or omission.

III. Scope of Responsibilities

A. Client will provide all hardware necessary to access InfoNet, Inc., including but not limited to, computers, modems, and telephone lines.

B. InfoNet, Inc. will assist the Client by appraising them of the currently required hardware and software at the time of initial setup. InfoNet, Inc. technical support is limited to connection only. Client understands that InfoNet, Inc can not be held responsible for any software.

C. Client is responsible for implementing sufficient procedures and checkpoints to satisfy its requirements for accuracy and security of data and access codes. Client is also responsible for maintaining a means external to InfoNet for archiving Client's critical records.

D. InfoNet, Inc. will not be responsible for the reconstruction of and lost data, outside of that provided by and required for the operation of InfoNet itself.

E. Client agrees to protect and treat as confidential all access codes, passwords, and proprietary information provided by InfoNet for access to its system. Client will be held responsible for all acts initiated or authorized by its account ID. If you believe your ID/password has been compromised, notify InfoNet, Inc. by e-mail of telephone immediately.

F. InfoNet, Inc. will not be responsible for the service interruptions beyond its control, including but not limited to, Acts of God, service interruptions by its suppliers, or modifications to the Clients systems by the Client or a third party.

G. InfoNet, Inc will make a reasonable effort to respond to requests for support; however, technical support is not implied under the terms.
